Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SantaWealth ("SantaWealth," "we," "us," or "our") and govern your access to and use of the SantaWealth website, applications, and services (the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Acceptance & eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement and that any information you provide is accurate. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@santawealth.com if you suspect unauthorized use. You may not share, sell, or transfer your account without our consent.

3. Plans, billing & trials

• Free and paid plans. We offer a free plan and paid subscriptions (such as Pro and Studio). Features and prices for each plan are described on our pricing page and may change with notice.
• Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annually) and renew automatically until cancelled. You authorize us and our payment processors to charge your payment method for applicable fees and taxes.
• Trials. If you start a free trial, we may charge your payment method when the trial ends unless you cancel beforehand.
• Cancellation. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods.

4. Your content

You retain all ownership rights in the content you create, upload, or publish through the Services ("Your Content"). You grant SantaWealth a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and transmit Your Content solely as needed to operate and provide the Services — for example, to format, schedule, and deliver your posts to the platforms you connect.

You are solely responsible for Your Content and represent that you have all rights necessary to use it and to grant the license above, and that it does not violate any law or third-party right.

5. Acceptable use

You agree not to:

• Violate any law or the rights of others, including intellectual property and privacy rights;
• Post or distribute content that is unlawful, infringing, defamatory, harassing, hateful, or sexually exploitative of minors;
• Upload malware or attempt to disrupt, overload, or gain unauthorized access to the Services or related systems;
• Reverse engineer, scrape, or resell the Services except as permitted by law;
• Send spam or use the Services to violate the rules of any connected platform; or
• Misrepresent your identity or affiliation.

6. Third-party services

The Services integrate with third-party platforms and tools. Your use of those platforms is subject to their own terms, and we are not responsible for their content, policies, or practices. We may modify or discontinue an integration if a platform changes or withdraws access.

7. Monetization & payouts

If you use monetization features (memberships, tips, products, or brand deals), you authorize us and our payment partners to process the related transactions. Payouts are subject to verification, applicable fees, minimum thresholds, and the terms of our payment processors. You are responsible for any taxes arising from your earnings. We may withhold or reverse payouts in cases of suspected fraud, chargebacks, or policy violations.

8. Intellectual property

The Services, including all software, design, text, and trademarks (other than Your Content), are owned by SantaWealth or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You may not use our trademarks without our prior written permission.

9. Suspension & termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or create risk or legal exposure for us. Upon termination, your right to use the Services ends, and we may delete Your Content after a reasonable period, except where retention is required by law. Sections that by their nature should survive termination will survive.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR RESULT (SUCH AS AUDIENCE GROWTH OR REVENUE) WILL BE ACHIEVED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANTAWEALTH AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE PAID NOTHING.

12. Indemnification

You agree to indemnify and hold harmless SantaWealth and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your violation of these Terms or the rights of any third party.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction over any dispute, unless applicable law in your place of residence requires otherwise. Nothing in these Terms limits any mandatory consumer rights you may have under local law.

14. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and provide reasonable notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
